These Terms of Use (“Terms”) describe how WorkVerge LLP (“WorkVerge,” “we,” “our,” or “us”) provides its platforms and products, and the responsibilities of your organization (“Customer,” “you,” or “your”) when using them.

Our philosophy is simple: we aim to provide secure, compliant, and value-driven solutions while respecting your organization’s trust in us. 1. Overview of Services and Products

WorkVerge offers a unified enterprise suite designed to address critical areas of employee and organizational needs:

  • Assettix: IT and asset lifecycle management (hardware, software, servers, domains, SSLs).
  • Elevate: Ticketing and employee service management with workflow automation.
  • EngageIQ: Employee feedback and experience management with AI-driven insights.

Together, these Products provide your organization with a seamless ecosystem that integrates with existing tools and simplifies employee lifecycle management.

2. Applicability of These Terms

These Terms apply to all use of the WorkVerge Services and or Products by your organization and its authorized end users. Enterprise contracts may include additional terms; in case of conflict, the enterprise contract will prevail.

Our services and products are intended for enterprise use only and are provided to organizations via direct contracts or authorized resellers in the MENA and EU regions.

3. Data Ownership & Processing

We recognize the sensitivity of the data entrusted to us. To that end:

  • Customer Ownership: All data you upload or process through WorkVerge remains your sole property.
  • Processor Role: WorkVerge acts as a Data Processor, while your organization remains the Data Controller.
  • Use of Data: Data is processed exclusively for delivering and improving the Services, never for resale or unrelated activities.
  • Employee Data: Customers are responsible for lawful collection and consent from their employees, in line with GDPR and local MENA data protection laws.

4. Data Residency & Subprocessors

WorkVerge offers flexible data residency to meet regulatory requirements:

  • Customers may select between USA, UAE or EU-based data centers.
  • WorkVerge ensures subprocessors meet stringent security and compliance standards (GDPR, ISO 27001, SOC 2).
  • A full subprocessors list is available on request, and Customers will be notified of any changes.

5. Security & Compliance

Protecting your data is central to our operations:

  • WorkVerge aligns with ISO 27001, SOC 2, and GDPR requirements. Regular penetration tests, encryption, and access controls are enforced.
  • If a confirmed security breach occurs, we will notify affected Customers without undue delay and provide timely updates until resolution.

6. Service Availability

  • WorkVerge strives to provide industry-standard uptime and reliability.
  • Planned maintenance windows will be communicated in advance.
  • While we take every measure to ensure stability, interruptions caused by force majeure events, third-party providers, or internet backbone failures are outside our control.

7. Confidentiality

Both WorkVerge and the Customer agree to maintain strict confidentiality of each other’s sensitive information, except where disclosure is required by law.

8. Use of Services & Customer Responsibilities

To keep the platform secure and productive for all:

  • Customers shall ensure that only authorized employees access the Services.
  • End users must not misuse the platform (e.g., uploading unlawful content, attempting unauthorized access).
  • Integrations with third-party systems remain the Customer’s responsibility for configuration accuracy.

9. Fees & Payments

  • Service fees are defined in enterprise contracts or reseller agreements.
  • Payments must be made within the agreed period to avoid service interruptions.
  • WorkVerge reserves the right to suspend Services in case of unpaid invoices.

10. Term, Suspension & Termination

  • These Terms remain in effect until terminated by either party.
  • Customers may terminate services with written notice per contractual terms.
  • On termination, Customers will be provided a reasonable window to export their data.

11. Limitation of Liability & Indemnification

  • WorkVerge’s liability is limited to direct damages not exceeding the fees paid by the Customer in the preceding 12 months.
  • Neither party shall be responsible for indirect or consequential damages.
  • Customers shall indemnify WorkVerge against claims related to unlawful use of the Services by their employees.

12. Governing Law & Dispute Resolution

All disputes amongst the parties shall be governed by the applicable laws in India. The dispute shall first be resolved by way of Arbitration. The venue and seat for Arbitration shall be Pune, Maharashtra. Sole arbitrator shall be appointed as may be mutually decided by both the parties.

13. Force Majeure

Neither party shall be held liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, government actions, internet backbone disruptions, or civil unrest.

14. Changes to Terms

WorkVerge may revise these Terms to reflect changes in legal, security, or service requirements. Customers will be notified of material changes, and continued use of Services constitutes acceptance.

15. Miscellaneous Provisions

  • These Terms, along with your Enterprise Agreement, form the complete Agreement between WorkVerge and your Organization.
  • If any provision is found unenforceable, the remaining provisions will remain valid.
  • Neither party may assign rights or obligations without prior written consent, except in cases of merger or acquisition.
